Job Description/Requirements

Main Purpose of the Role

To provide overall legal expertise and support on legal issues relation to structures, functions and activities of the organisation to achieve business objectives and to support management on issues relating to legal and regulatory framework by monitoring compliance with legal and regulatory corporate governance requirements.



Among others, key accountabilities will include: -

1.Identifying legal risks that face the company and coordinating their mitigation.

2.Monitoring changes in the legislative and regulatory environment with a view of compliance and adherence to codes, regulations, corporate policies and procedures as well as legal and statutory requirements and submit opinions to management for action.

3.Providing legal support across the company by collaborating with cross functional teams, including finance, operations and human resources departments to address legal issues and support business initiatives.

4.Providing legal advice and guidance on the negotiation, drafting and implementation of contractual obligations.

5.Undertaking internal legal compliance audits, coordinating external legal compliance audits, and implementing corrective actions.

6.Preparing property lease agreements, heads of terms and other tenancy contracts in line with company policy.

7.Facilitating the management of active litigation in liaison with the appointed advocates and prepare regular briefs.

8.Ensuring safe custody of contracts and agreements and tracking their validity to ensure timely renewal/ or extension.

9.Providing administrative support to the company secretary through compiling board papers, and the filing and safe custody of board meeting minutes as per company policy.

10.Managing and protecting Intellectual Property assets including trademarks, copyrights and Industrial Designs.

11.Updating records, organizing and maintaining legal registry.

12.Preparing departmental work-plan and budgets.

13.Establishing and continuously improve departmental ISO procedures.

14.Preparation and presentation of weekly, monthly and quarterly departmental reports.

15.Undertaking all other duties and responsibilities as may be assigned from time to time.



Qualifications, Experience and Knowledge

•Bachelor of Laws degree (LL.B) from a recognized institution .

•Post graduate Diploma in law from Kenya School of Law

•Admission to the Roll of Advocates of the High Court of Kenya

•Possession of current practicing certificate and in good standing

•At least three (3) years’ of relevant experience preferably in corporate or commercial setting.

•Certified Public Secretary (CPS(K)) will be an added advantage.

•Attention to detail and strong analytical skills.

•Strong negotiation and communication skills.

•Ability to work independently and collaboratively in a team.
