Job Summary


Our client, a reputable law firm based in Nairobi, invites applications from suitable, qualified, competent and result oriented Associate Advocate to join its Conveyancing, Commercial and Insolvency practice. The successful candidate will be responsible for managing and progressing assigned matters from the stage of initial instructions through to completion, registration or resolution as applicable. The role will involve handling transaction documents, security perfection, client advisory work and corporate recovery processes as part of the department's caseload.


 


Key Responsibilities


 



  1. Manage a caseload of conveyancing, commercial and insolvency matters from instruction through to completion, registration or resolution.
  2. Draft and review sale agreements, leases, transfers and joint venture agreements, and handle the property transactions they relate to from start to finish.
  3. Draft, review and negotiate commercial agreements on the firm's behalf, including shareholder agreements, service level agreements, supply contracts and partnership deeds.
  4. Prepare charges, mortgages, debentures and guarantees and see each security through to registration and perfection.
  5. Prepare and file the notices, petitions, administration applications and schemes of arrangement that insolvency and corporate recovery matters under the Insolvency Act, 2015 require.
  6. Advise lenders, creditors and corporate debtors on the restructuring, asset realization and recovery options open to them.
  7. Review a company's financial statements and debt position to put together practical settlement agreements and deeds of variation.
  8. Carry out due diligence, including title checks and land registry searches, and report any risks to the client before a transaction proceeds.
  9. Put together the transaction documents and financing terms for mergers, acquisitions, asset purchases and takeovers.
  10. Attend meetings with liquidators, administrators, receivers and regulators during a corporate turnaround or winding-up.
  11. Research points of law as they arise and advise on legal risk, corporate governance and regulatory compliance.
  12. Prepare legal opinions on matters that touch on property, contract and insolvency law at the same time.
  13. See transaction documents through signing, stamping and registration, and follow up with land registries, county governments and other authorities until every approval is in place.
  14. Liaise with clients, banks, valuers, surveyors, opposing advocates and other parties as a matter requires.
  15. Keep matter files, diaries and critical dates in order, including completion, registration and filing deadlines.
  16. Keep clients updated on the progress of their matters and let them know promptly once a matter is concluded.
  17. Prepare periodic status reports on conveyancing, contract and insolvency matters.
  18. Handle every matter in line with the applicable law, registry requirements and professional conduct rules.
  19. Take on other legal duties assigned by the Partners.


Qualifications and Experience


 



  1. Bachelor of Laws (LLB) degree from a recognized university.
  2. Postgraduate Diploma in Law from the Kenya School of Law.
  3. Admitted as an Advocate of the High Court of Kenya.
  4. Possession of a valid practicing certificate.
  5. Three (3) to six (6) years’ post-admission experience in commercial, conveyancing and corporate recovery matters, preferably gained in a reputable law firm.
  6. Demonstrated experience in property transactions and the registration of securities.
  7. Practical experience in drafting and negotiating commercial contracts.
  8. Practical experience in insolvency, restructuring or debt recovery matters.
  9. Good working knowledge of the Insolvency Act, 2015, Kenyan land law, company law and registry procedures.
