Job Description
The Postal history in Kenya dates from the early years of the 17th century. A Portuguese governor was installed in Mombasa in and official correspondence between the town and the outside world has been recorded from onwards, carried by ship to Arabia and India and transmitted to Europe by the overland route.
Job Purpose
The Manager – Legal Service & Corporation Secretary is responsible for providing Board secretariat services, legal advice, litigation management, regulatory compliance, contract and lease preparation, and custody of all Corporation title deeds and logbooks. The role also includes managing insurance matters and implementing good corporate governance practices as per guidelines from the Attorney General, the State Corporations Act, and the Mwongozo Code of Governance for State Corporations
Duties and Responsibilities
Providing guidance to the Board on their duties and responsibilities and on matters of Corporate Management. Keeping custody of the Board’s seal, Board Committee documents contracts, agreements and other documents. Providing advice on legal and corporate matters to the Board through interpretation and writing legal opinions. Inducting, training and updating the Board and Committee charters, preparing Board work plans, Board evaluation, governance audit, and implementation of the code of conduct and ethics. Ensuring timely preparation and circulation of Board and Committee papers and minutes. Custodian of the seal of the organization and account to the Board for its use; Maintaining and updating the register of conflicts of interest. Ensuring Board members are aware of all relevant laws affecting the organization; Ensuring legal compliance to legislative provisions and regulations. Developing legal strategies aimed at forestalling disputes, controversies and litigation. Conducting legal research and representing the Board in litigation and various legal matters; Liaising with external lawyers on court matters; drafting legal documents, leases and contracts. Liaising with the Attorney General, law enforcement agencies and stakeholders on all legal matters. Ensuring annual returns are promptly filed with the relevant authorities. Ensuring that Legal Audit Compliance is carried out to confirm compliance with relevant statutory requirements. Overseeing the implementation of Mwongozo, Code of Conduct at the Corporations; and Ensure that Corporation Insurance cover is legally adequate and terms and conditions are complied withRequirements for Appointment
A minimum period of twelve years’ relevant work experience, five years of which in a managerial role; Bachelor’s degree in Law from a recognized University; Master’s Degree in Law (LLM) or any other relevant field; An advocate of the High Court of Kenya; Hold a valid Practicing Certificate; Postgraduate Diploma Kenya School of Law; Member of the Law Society of Kenya (LSK); Certified Public Secretary (CPSK); Be a member of the Institute of Certified Secretaries of Kenya in good standing; Certificate in Corporate Governance from a recognized institution; Certificate in Senior Management Course lasting not less than four weeks from a recognized institution; Proficiency in computer applications; and Fulfill the requirements of Chapter Six of the Constitution of KenyaKey competencies and skills
