Role Overview:
We are urgently seeking proactive and commercially minded Senior Legal Officer to join our in-house legal team and support our diverse group of companies involved primarily in the pharmaceutical manufacturing sector, with a strong focus on commercial real estate matters.
Key Responsibilities:
1. Real Estates Property Transactions: -
- Manage legal aspects of real estate and property transactions, including acquisitions, leases, developments, and disposals.
- Draft, review, and negotiate leases, sale agreements, land purchase contracts, joint venture agreements, and related property documents.
- Conduct due diligence, including zoning analysis and compliance checks.
- Liaise with external surveyors, valuers, property agents, as needed.
2. Contract Draftings Negotiation:- Draft, review, and negotiate abroad range of agreements including manufacturing, distribution services, NDAs, and shareholder agreements.
- Support contract life cycle management and monitor key contract milestones and obligations.
3. Corporate Governance s Compliance:- Maintain oversight of regulatory filing sand statutory obligations, including renewal and maintenance of all relevant operational licenses and permits.
4. Intellectual Properties Data Protection:- Support management and protection of the company’s intellectual property rights, including trademarks, patents, and proprietary technologies.
- Ensure data protection and privacy compliance, implementing policies aligned with Kenyan Data Protection Act and related regulations.
5. Litigation s Dispute Resolution Support:
- Support management of litigation and disputes, reviewing pleadings, and maintaining case files.
6. Other Responsibilities: - Support the Head of Legal, Board and different companies on ad hoc projects and corporate initiatives.
Qualifications s Experience:
· Bachelor of Laws(LLB) from a recognized university.
· Advocate of the High Court of Kenya with a valid practicing certificate.
· 10 years’ post-admission experience, preferably in a commercial/corporate environment.
· Strong knowledge and experience in real estate/property law is a must.
· Working understanding of intellectual property, data protection, regulatory compliance, and pharmaceutical sector regulations is highly desirable.
